The three situations where it wins
Painted more than once, where sanding is now a multi-day job. Damaged substrate, where you would be replacing board anyway once the texture is off. And ceilings people would simply rather leave sealed, which after a borderline lab result is a legitimate thing to want.

What it costs you besides money

Doing it properly
The new board is screwed through the old ceiling into the joists, not into the old drywall. That means finding and marking every joist first, which on a sixteen inch centre layout is straightforward, and using screws long enough to get real purchase through two layers.
Board goes up perpendicular to the joists with staggered end joints, then it is taped and finished like any new ceiling. Because it is factory paper rather than a repaired plane, a flat finish is easier here than it is over a scraped ceiling, and level 5 is often unnecessary.
The thing we will not do
Covering an asbestos-positive ceiling as a way of avoiding abatement. Enclosure is a recognised control method in the regulations, but it is regulated work with its own requirements, and it is not something a drywall crew should be doing off the books.
If your sample comes back positive and you want the ceiling enclosed rather than removed, that goes to a contractor licensed by the Texas Department of State Health Services. Same as removal.
